Terms of Service
These terms (the "Terms" or "CGU") govern your organisation's access to and use of the StratenOcon service. StratenOcon is a business-to-business (B2B) service intended for professional use.
1. Definitions
- "StratenOcon", "we", "us": StratenOcon SAS, a French société par actions simplifiée, registered office [SIÈGE SOCIAL].
- "Customer", "you": the organisation (and its authorised users) subscribing to or using the service.
- "Service": the StratenOcon web application, connectors, APIs, and related features.
- "Customer Data": content and data the Customer connects, uploads, or that is ingested from the Customer's connected systems, and queries submitted to the Service.
- "Subscription": the paid plan selected by the Customer.
2. Account & eligibility
The Service is offered to businesses and professionals. By using it you represent that you are acting on behalf of an organisation, that you are authorised to bind that organisation, and that you are at least 18 years old. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us promptly of any unauthorised use.
3. Subscriptions, billing, renewal & cancellation
- Paid plans are billed in advance for the selected period (monthly or annually) at the prices then in effect. Prices are stated excluding VAT; applicable taxes are added.
- Auto-renewal: your Subscription renews automatically for successive periods of the same length unless cancelled before the end of the current period.
- Cancellation: you may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current paid period; the Service remains available until then.
- Fees already paid are non-refundable except where required by applicable law.
- We may change prices or plan features; changes apply from your next renewal and we will give reasonable prior notice.
- We may suspend access for non-payment after notice and a reasonable cure period.
4. Acceptable use
You agree not to, and not to permit others to:
- use the Service unlawfully, or to process data you have no right to process;
- infringe intellectual property, privacy, or other rights of third parties;
- attempt to gain unauthorised access, disrupt, overload, reverse-engineer, or circumvent security or usage limits;
- upload malware, or use the Service to generate unlawful, harmful, or deceptive content;
- resell or provide the Service to third parties except as expressly permitted.
5. Customer Data — ownership & licence
As between the parties, the Customer owns all Customer Data. You grant StratenOcon a worldwide, non-exclusive, limited licence to host, copy, index, transmit, process, and display Customer Data solely as necessary to provide, secure, and support the Service, including sending relevant content to AI subprocessors to generate answers and agent actions. We process Customer Data in accordance with our Privacy Policy and, where we act as processor, under a Data Processing Agreement available on request. We do not use Customer Data to train our own models, and we do not sell Customer Data.
6. Intellectual property
The Service, including its software, design, and trademarks, is and remains the property of StratenOcon and its licensors. No rights are granted except the limited right to use the Service under these Terms. Feedback you provide may be used by us without restriction.
7. AI outputs
The Service uses artificial intelligence to generate answers, summaries, and suggested actions. AI-generated outputs may be incomplete, inaccurate, or out of date, and must be reviewed before you rely on them, particularly for decisions with legal, financial, or safety implications. Actions that modify your connected systems are proposed for your approval before execution. You are responsible for your use of the outputs.
8. Warranties & disclaimers
We provide the Service with reasonable skill and care and aim for high availability. Except as expressly stated and to the extent permitted by applicable law, the Service is provided "as is": we do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose, or that AI outputs will be accurate. Statutory warranties that cannot lawfully be excluded remain unaffected.
9. Limitation of liability
To the maximum extent permitted by applicable law, neither party is liable for indirect or consequential loss, loss of profits, revenue, data, or goodwill. Subject to the following sentence, each party's total aggregate liability arising out of or relating to these Terms is limited to the total fees paid or payable by the Customer for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
10. Indemnity
The Customer agrees to indemnify StratenOcon against third-party claims arising from the Customer's unlawful use of the Service or breach of these Terms, or from Customer Data infringing third-party rights, except to the extent caused by StratenOcon. StratenOcon will defend the Customer against third-party claims that the Service, as provided by us, infringes their intellectual property rights, subject to reasonable cooperation and the liability limits above.
11. Term, termination & data on termination
These Terms apply for as long as you use the Service. Either party may terminate for material breach not cured within a reasonable period after notice. On termination or expiry, your right to access the Service ends. You may export Customer Data during a 30-day export window after termination; after that window, Customer Data and derived state are deleted in the ordinary course, subject to any legal retention obligations and backups that expire on a rolling basis.
12. Modifications to these Terms
We may update these Terms to reflect changes to the Service or legal requirements. We will give reasonable prior notice of material changes. Continued use after the changes take effect constitutes acceptance; if you do not agree, you may cancel as described in section 3.
13. Governing law & jurisdiction
These Terms are governed by French law. Subject to any mandatory rules that apply to the Customer, the courts of [Paris], France have exclusive jurisdiction over disputes arising out of or relating to these Terms. The parties will attempt to resolve disputes amicably before litigation.
